Terms of Use for Instant AI-Translation Portal
1. Scope of Agreement
1.1 The Customer is granted the right to use the Instant AI-translation Portal as specified in this Agreement and according to the chosen subscription plan.
1.2 The service includes access to translation engines, automated quality assessment, and the ability to fine-tune language technology for the company's specific tone and terminology.
2. Use of the Phrase Language Platform
2.1 The Provider uses the Phrase language platform to manage translation services and language resources.
2.2 Through the use of Phrase, the Provider gains access to advanced data management according to the latest IDD (International Data Directives) standards, ensuring that all data is handled in compliance with the highest standards of data security and integrity.
3. Pricing and Payment Terms
3.1 Additional MTUs
Additional MTUs are purchased according to your current price plan. If the Customer purchases additional MTUs, the cost will automatically be added to the next invoice.
3.2 The price for the ENTERPRISE plan varies depending on the complexity of the setup and is customized to meet the Customer's specific needs.
3.3 The Customer can choose the billing frequency that best suits their administrative needs, including monthly, quarterly, semi-annual, or annual billing.
3.4 Billing is conducted according to the selected frequency, and payment is due within 10 days of the invoice date. Late payments will incur interest according to the prevailing reference rate.
4. Additional Services
45.1 The Customer has the option to purchase additional services from the Provider at any time, billed at the Provider’s prevailing hourly rate.
4.2 These additional services may include but are not limited to:
- Quality control by a language expert: Enhancing the accuracy and tone of the translations through expert review.
-Assistance with integrations: Technical support for integrating the Instant AI-translation Portal with the Customer’s existing systems or platforms.
4.3 The rates for these services will be in accordance with the Provider's current hourly pricing.
5. Integration of Language Memories
5.1 As part of the Instant AI-translation Portal service, the Provider will integrate the Customer's existing language memories into the system.
5.2 The Provider strongly recommends that the Customer utilizes their language memories to improve translation quality and achieve more accurate and consistent results.
5.3 This integration aims to optimize the AI technology's performance by leveraging previously approved translations and terminologies specific to the Customer's needs.
6. Limitation of Liability
6.1 The Provider's liability for any damages is limited to an amount corresponding to the cost of the specific assignment.
6.2 The Provider is not responsible for indirect damages, including but not limited to production loss, loss of profit, or similar.
7. Modifications and Amendments
7.1 All modifications or amendments to the assignment must be documented in writing and confirmed by both parties.
8. Confidentiality and Data Protection
8.1 The Provider commits to handling all information received in connection with the assignment confidentially and in compliance with GDPR.
8.2 Information may be shared with subcontractors, provided they are bound by equivalent confidentiality agreements.
9. Data and Document Rights
9.1 Documents, data, and other files submitted by the Customer remain the property of the Customer.
9.2 The Provider has the right to copy, scan, or otherwise reproduce documents and forward them to its subcontractors.
9.3 The Provider exclusively owns its language technology, including but not limited to translation memories, term databases, and glossaries, while the Customer retains ownership of the content within these resources.
9.4 The Customer may request the export of language data memories at any time for an administrative fee as specified in the Provider’s price list. This fee also includes the cost of removing any GDPR-sensitive material from the data before export. The Customer must sign a disclaimer prior to the transfer, acknowledging that the Provider bears no liability for the content or the quality of the exported translation memories.
10. Quality Assessment
10.1 To provide an indication of quality, Comactiva uses an AI-powered system, the Quality Performance Score (QPS), based on the Multidimensional Quality Metrics (MQM) framework. QPS evaluates the quality of the machine translation in the portal on a scale from 0 to 100, with the scores serving as guidance rather than an absolute measure.
10.2 Quality Scores and Categories
95 - 100: Excellent
The highest level of translation quality. Excellent translations are fluent, accurate, and stylistically appropriate.
90 - 94: Very good
A high-quality translation with limited room for improvement. Very good translations capture the content of the source and articulate it well in the target.
75 - 89: Good
A good translation of source content, with room to improve the fluency and stylistic expression of the target text.
0 - 74: Poor
A poor translation may fail to communicate source content with sufficient accuracy and clarity.
10.3 If a text's QPS score is too low to meet your standards or if the text requires a higher quality for any reason, Comactiva can engage an external language expert (trained linguist) to review and improve the material, in accordance with our current price list. In that case, just reach out to us, and we’ll assist you.
11.. Force Majeure
11.1 The Provider shall be exempt from liability for any failure to fulfill the assignment due to circumstances beyond its control, such as strikes, fires, or other unforeseen events.
